OSL set to acquire Indonesia’s Evergreen Crest

OSL Group, a publicly-listed digital asset and blockchain platform company headquartered in Hong Kong, is set to acquire Indonesia’s Evergreen Crest Holdings.

As the proposed acquisition of Evergreen Crest, a business that includes a virtual assets exchange platform, will involve a share transaction, OSL filed details of the acquisition with the Hong Kong Stock Exchange on June 2.

 

OSL will take a 90% stake in Evergreen Crest in return for $15 million worth of consideration shares, which will be issued by OSL to the seller. This share issuance will account for 1.48% of the total issued shares in the company. Once the acquisition goes through, Evergreen Crest will become a subsidiary of OSL Group, with Evergreen’s financial results consolidated into the overall financial statements of OSL going forward. 

 

‘Strategic benefits’

The filing suggests that OSL management believe that the acquisition “will bring substantial strategic benefits to the Group,” as it opens up access for the company to the Indonesian digital asset market. The company is optimistic about the outlook for the Indonesian crypto market. It stated:

 

“Indonesia possesses key attributes conducive to growth in this sector, including a substantial and youthful demographic, robust economic growth fundamentals, and a rapidly increasing rate of cryptocurrency adoption.”

 

Acquiring licenses

One interesting aspect of the acquisition is that Evergreen Crest has acquired the requisite licensing to operate within the Indonesian market. Those cryptocurrency and futures trading licenses are likely to be of significant value to OSL as it means that through the acquisition, OSL can now enter the Indonesian market in a fully compliant manner.

 

Using the existing compliant platform, OSL intends to expand the range of services offered within the Indonesian market. It indicated that it would do so in respect of payment finance (PayFi) and tokenized real-world asset (RWA)-related products and services, subject to acquiring the necessary licensing.

 

OSL is encouraged by the opportunity that exists within Indonesia as far as tokenized RWAs are concerned. It claimed that the country has already demonstrated significant tokenized RWA-related activity.

 

PT Multikripto Exchange Indonesia (also known as Koinsayang), the exchange business owned by Evergreen Crest, was awarded a virtual asset trading license by the Indonesian regulator, the Financial Services Authority (OJK), in March. At the time, the exchange outlined that it intended to expand its service reach, while creating a better trading experience for users located within Indonesia and overseas.

 

In September 2024, the exchange was awarded a license to offer crypto asset perpetual futures contracts by Indonesia’s Commodity Futures Trading Supervisory Agency (Bappebti). 

 

OSL expanding its reach

OSL appears to be making a concerted effort to expand beyond its Hong Kong base. In February it acquired CoinBest, a Japanese crypto exchange, rebranding the business as OSL Japan. At the time it was reported that the company was also looking at opportunities to expand in European markets.

 

OSL was amongst the first digital asset exchange platforms to be licensed in Hong Kong, receiving Type 1 and Type 7 licenses from the Securities and Futures Commission (SFC) in December 2020.

Solv raises $11M to bring overall funding to $25M

Singapore-based decentralized liquidity infrastructure and on-chain funding project Solv Protocol has raised $11 million in funding, bringing its total inward investment to date to $25 million. Taking to Medium on Oct. 14, the project outlined that in this most recent funding round, $11 million had been raised with participation from Nomura subsidiary Laser Digital, Blockchain Capital, gumi Cryptos Capital, OKX Ventures and CMT Digital. Angel investors associated with a number of blockchain projects such as Berachain, Ethena, Mezo, Core, GMX, Curve and EigenLayer also invested. $200 million valuationThis latest funding round was carried out while placing a $200 million valuation on the company. Going forward, the company plans to roll out additional products over the course of the next few weeks, with a view towards further expanding yield opportunities for Bitcoin (BTC) holders. Solv Protocol’s leading product, SolvBTC, was introduced to the market last March as the world’s first-ever yield-bearing Bitcoin. The protocol initially ran on Ethereum, Arbitrum, BNB Chain and Merlin Chain. Since launch, it has been expanded across 10 blockchain networks. The product claims to enable BTC holders to earn additional BTC all the while maintaining Bitcoin exposure. In excess of 20,000 BTC is currently staked within Solv Protocol’s SolvBTC product, accounting for around $1.3 billion in value. We believe BTCFi will drive the next wave of innovation in the blockchain space.” In a series of X posts published on Oct. 14, the project pointed out that the lack of a native yield, limited integrations with core DeFi primitives and fragmented BTC liquidity relative to DeFi are key challenges for Bitcoin, which Solv claims to have resolved. Staking Abstraction Layer (SAL)Earlier this month, Solv, alongside BNB Chain, Ceffu and Chainlink, launched the Staking Abstraction Layer (SAL). SAL is a framework which has been designed to simplify and standardize Bitcoin staking across a number of blockchain networks. Key SAL features include cross-chain compatibility with Ethereum Virtual Machine (EVM) compatible chains, support for liquidity staking tokens (LSTs) and a focus on security and custody with the involvement of crypto custodian Ceffu deemed to ensure that the user’s underlying Bitcoin is secure. Solv has launched three LSTs. These include SolvBTC.BBN, an LST representing staked Bitcoin on Babylon, another Bitcoin staking platform. SolvBTC.ENA is a trading strategy involving Ethena’s basis trading. Meanwhile, SolvBTC.CORE focuses on providing Bitcoin liquidity on CoreDAO, a Bitcoin-aligned EVM-compatible layer-1 blockchain. Bitcoin staking is a more recent development which appears to have considerable potential. As Solv pointed out on X, Ethereum has a 28% staking rate right now, with Bitcoin not coming anywhere close to this figure. Staking platforms on Ethereum like Lido has $23.7 billion in total value locked (TVL) while EigenLayer weighs in at $10.9 billion.

Credit Saison launches $50M blockchain fund, deepening push into emerging markets

Credit Saison, one of the largest credit card issuers in Japan, is accelerating its global venture strategy with the creation of Onigiri Capital, a new fund targeting early-stage startups building on blockchain technology. Set up in Singapore last month through Credit Saison’s corporate venture arm, Saison Capital, the vehicle is aiming for up to $50 million in commitments and will run for 10 years, with an optional two-year extension. Established in 2019, the venture arm has backed fintech startups across Asia and, since 2021, has increasingly focused on blockchain-based finance, investing in more than 40 companies. The firm said those investments laid the groundwork for Onigiri Capital, which will also enable other financial institutions to invest alongside Credit Saison in promising blockchain ventures. Onigiri Capital will concentrate on five areas: stablecoins, payments, asset tokenization, decentralized finance (DeFi), and financial infrastructure. The fund will invest primarily at the seed and early stages, with an emphasis on long-term growth. Managing the fund are Qin En Looi, a partner at Saison Capital involved in over 40 blockchain investments, and Hans de Back, a venture investor with more than two decades of experience. Cross-border stablecoin pilotThe launch comes as Japan steps up efforts in digital assets beyond investment alone. According to Electronic Times, the first phase of “Project Pax,” a cross-border stablecoin remittance pilot involving financial institutions in Japan and South Korea, concluded successfully last week. Participants were Progmat—a tokenization platform backed by a consortium of major institutions, including MUFG—along with Datachain and Shoko Chukin Bank from Japan, and Shinhan Bank, NH Nonghyup Bank, and Kbank from South Korea. Fair Square Lab and Korea Digital Asset Custody helped develop an application programming interface (API) for the trial. The pilot demonstrated the feasibility of a network that converts fiat currency into stablecoins for on-chain transfers and then back into local currency at the destination, an approach expected to reduce the time and cost of cross-border payments. The results add momentum to Japan’s bid to modernize financial infrastructure, a backdrop that Onigiri Capital aims to capitalize on as it deploys capital into the sector.
