Hong Kong financial services platform plans spot Bitcoin ETF launch for Q1

Markets·January 20, 2024, 12:46 AM

Venture Smart Financial Holdings Ltd. (VSFG), a Hong Kong-based financial services company, is gearing up to initiate an exchange-traded fund (ETF) directly investing in bitcoin in the first quarter of this year.

That’s according to a report by Bloomberg on Friday. The move aligns with Hong Kong's strategic efforts to establish itself as a digital asset hub, and with that, the company plans to submit an application to the Securities and Futures Commission (SFC) for ETF approval.

Brian Chan, the group head of investment and product at VSFG, expressed optimism about the potential of this market, setting a goal of achieving $500 million in assets under management by the end of the year.

Long-term objective

While the firm has taken the decision to focus on spot crypto ETFs amid a backdrop of spot bitcoin ETF approval in the United States earlier this month, it’s an objective the firm has been working on for some time. In June of last year, crypto media reported that VSFG were planning the launch of such a product.

Notwithstanding that intention, the recent launch of several high-profile bitcoin funds in the United States, including offerings from BlackRock and Fidelity Investments, will likely assist the company in getting product approval in Hong Kong.

Immediately following U.S. approval, a Hong Kong lawmaker suggested that the Chinese autonomous territory should respond proactively. Johnny Ng outlined that Hong Kong had to respond to secure its global position in developing the digital assets space in Hong Kong.

Positive soundings

Towards the end of December, there appeared to be positive soundings on the possibility of spot bitcoin ETF approval in Hong Kong emerging from the local regulator. SFC CEO Julia Leung stated that the regulator was open to the notion of retail participation in spot crypto ETF products.

Her comment was followed shortly afterwards by a joint announcement from the SFC alongside the Hong Kong Monetary Authority (HKMA) that they were prepared to accept applications for such funds. The approval process for such products typically takes weeks to months, following the precedent of traditional ETFs.

Hong Kong presently permits futures-based crypto ETFs, with three already listed: CSOP Bitcoin Futures, CSOP Ether Futures and Samsung Bitcoin Futures. However, these funds have a combined asset value of around $50 million. Samsung Asset Management has not ruled out exploring the launch of a spot ETF, while CSOP Asset Management remains silent on the matter.

VSFG is one of Hong Kong's first SFC-approved virtual asset managers, offering both traditional and digital wealth management services. Aegis Custody, a digital asset custodian, is in discussions with four asset managers about listing spot crypto products in Hong Kong. The regulatory requirements in the city may lead issuers to impose higher fees compared to the low management levies seen in many new U.S. spot bitcoin ETFs.

Although bitcoin experienced substantial growth in anticipation of these U.S. products, it has seen a 10% decline since their trading commenced on Jan. 11. Nevertheless, many industry commentators expect a stronger bitcoin unit price in the medium to long term as a direct consequence of these products.

Metaplanet issues more bonds to buy Bitcoin & opens U.S. subsidiary

Japanese Bitcoin treasury firm Metaplanet has opened a U.S. subsidiary company in Florida while also issuing 3.6 billion Japanese yen ($24.7 million) in bonds for the purpose of buying more Bitcoin.Photo by Kanchanara on UnsplashAccelerating the Bitcoin strategyIn an announcement on May 1, the company outlined that it had established Metaplanet Treasury Corporation in Miami, Florida. The firm cited the purpose of the subsidiary as a means through which it can accelerate its overriding strategy of accumulating more Bitcoin. Metaplanet CEO Simon Gerovich commented on X on the rationale behind locating the U.S. subsidiary in Florida, stating:”The reason for choosing Florida is clear: the state is rapidly emerging as a global hub for Bitcoin innovation, corporate adoption and financial liberalization.” Gerovich added that the newly formed company will enhance Metaplanet’s “around-the-clock operational capabilities across time zones.” The Metaplanet CEO sees the development as part of the firm’s evolution as a global Bitcoin treasury company.  $250 million capital raiseThe company stated that it had already established a corporate entity in the British Virgin Islands (BVI), with the U.S. addition enhancing the company’s ability “to respond to market dynamics with speed and precision.”  Metaplanet intends to raise $250 million in funding through the Miami-based entity, having launched it with initial capital of $10 million. It’s envisaged that the U.S. subsidiary can act as a vehicle to attract institutional investment.  Back in March it was reported that Metaplanet was investigating the idea of listing its stock in the U.S. At the time, Gerovich stated that the firm was “considering the best way to make Metaplanet shares more accessible to investors around the world.” As part of that process, Gerovich met with officials from the New York Stock Exchange (NYSE) and the Nasdaq.  In further U.S.-related developments, the company appointed Eric Trump, second son of U.S. President Donald Trump, to its strategic board of advisors in March. Last week, Metaplanet appointed David Bailey, CEO of Bitcoin Magazine, to its strategic board of advisors. Bond issuanceIn a separate development, Metaplanet has issued 3.6 billion Japanese yen ($24.7 million) in 0% ordinary bonds to purchase additional Bitcoin. The company used its EVO FUND as the mechanism through which it issued the bonds.  It has set out a goal of accumulating 10,000 BTC by the end of the year. Currently, the company holds 5,000 BTC. One community member believes that Metaplanet could hit this target as early as July on the basis of ongoing share dilution.Appearing on The Bitcoin Treasuries Podcast earlier this year, Metaplanet’s Director of Bitcoin Strategy, Dylan LeClair, described how prior to adopting its Bitcoin treasury strategy in 2024, the firm was a “zombie” on the Tokyo stock exchange with the pandemic having had a negative impact on the company’s fortunes.  He outlined that the company consolidated and dealt with some debt issues, but at that point it lacked a clear strategy. It then set out to replicate the success of U.S. Bitcoin treasury pioneer, Strategy (formerly MicroStrategy). On May 1 Gerovich posted on X that the company had achieved unrealized gains on Bitcoin exceeding six billion yen ($41.68 million).

It cites sources familiar with the matter in suggesting that as the fund raise negotiations progress, the terms of the offering, extent of the capital raise, and the valuation upon which its all based could change.Photo by Annie Spratt on UnsplashLeveraging a crypto-friendly environmentThe Web3 infrastructure developer and digital asset management firm has decided to take advantage of favorable conditions in Hong Kong in order to raise capital. The current business backdrop in the Chinese autonomous territory is particularly positive, and something that’s likely to make the capital raise a much easier task.Hong Kong has sought to create a crypto-friendly environment by way of both word and deed over the course of the past six months. With that being the case, it’s logical that there is tremendous opportunity for businesses like HashKey to achieve rapid growth in the nascent digital assets sector.Under the supervision of the Hong Kong regulator, Hashkey has already started to offer its services, one of only two companies (alongside OSL) to be permitted to trade in advance of the full implementation of licensing next month. While there have been some difficulties relative to banking the digital assets sector in Hong Kong, ZA Bank, Hong Kong’s largest virtual bank, has stepped up with the aspiration of banking the sector. ZA Bank is expected to facilitate crypto-fiat conversions with both of the currently licensed exchanges, HashKey and OSL, where customers can swap crypto into fiat currencies. The bank will also offer basic banking services to local web3 startups, a category that is currently underserved by traditional financial institutions.HashKey itself is cognizant of the conditions being right on the ground in Hong Kong and the opportunity that presents. Its chairman, Xiao Feng stated that Hong Kong is “very serious about building an international virtual asset center,” when speaking at the city’s Web3 Festival recently, an event that drew 13,000 attendees on its first day.Diversified service offeringThe firm’s activities in Hong Kong extend to HashKey Pro, a Hong Kong-compliant virtual asset exchange, and HashKey Capital, an investment firm. In April, the company established HashKey Wealth. This wealth management service offers investors access to a wide range of digital assets, including Bitcoin, Ethereum, and other cryptocurrencies, together with alternative investments such as decentralized finance (DeFi) projects and non-fungible tokens (NFTs).The program is designed to meet the needs of both institutional and high net worth individual investors. The investment strategies offered vary, ranging from passive to actively managed portfolios. Different risk profiles are employed to suit investors’ preferences. The program also provides a range of other services, including custody, trading, and portfolio rebalancing, to ensure that investors can manage their investments with ease.
